Paul Spizzirri, Esq. - Managing Partner                        Resume

Paul founded Spizzirri & Associates, LLC, in 2004, and serves as a Managing
Partner, overseeing the general management of the firm and its staff. Paul’s
practice focuses on mergers and acquisitions, with an emphasis on corporate, tax
and securities laws; federal, state and local major tax planning; transaction
advisory services; structured finance; federal, state and local due diligence;
transaction advisory services; and corporate, securities and tax litigation.  

Paul earned his Bachelor of Business Administration degree from the University of
Iowa School of Business in 1988. He then earned a Master of Business
Administration degree from the University of South Dakota School of Business in
1989. Paul earned a Doctor of Jurisprudence degree from the University of South
Dakota School of Law in 1992. Paul continued his formal education by earning a
Master of Laws post-doctorate degree in law from DePaul University School of
Law, and a Master of Accounting and Financial Management degree from the
Keller Graduate School of Business.  

Background and Key Experience:
From 1992-93, Paul worked as an associate at Kabeiseman, Hosmer and
Kettering, a general practice in Yankton and Tyndall, South Dakota. Paul’s work
focused on civil and criminal litigation, personal and corporate tax return
preparation, business and estate planning, corporate law and state securities
law. Paul was a branch office manager, and during this period, also co-defended
a capital murder case.

From 1993-96, Paul worked with the State Department of Revenue in Pierre,
South Dakota, as an attorney. Paul was the department’s representative in every
aspect of administrative, civil and appellate state and federal court litigation. His
areas of practice included sales, service, use, contractors’ excise, fuel, prorate,
property and bank franchise, and income taxation, including collections,
foreclosures and Chapters 7, 11, 12 and 13 bankruptcy litigation. Paul drafted a
majority of 1995 state tax legislation, as well as administrative regulations and
advisory opinions, including state tax exemption decisions regarding nonprofit
organizations. He was a registered lobbyist for the Office of the Governor in
1995. In addition, Paul worked as an audit instructor in computer-assisted
random sample auditing techniques, and was a property tax hearing examiner.

In 1997, Paul joined Deloitte & Touche, LLP, in Atlanta as a Supervising Senior
Consultant. He worked in transactional and organizational  restructuring involving
federal, state and local income taxation, sales and use taxation, property
taxation and realty transfer taxation. From 1998-2000, Paul worked with Ernst &
Young, LLP, in Chicago as a Manager. His work focused on mergers and
acquisitions, including federal, state and local tax due diligence, transaction and
organizational structuring, and tax consulting to corporate and private equity
clients.

In 2000, Paul joined Arthur Andersen, LLP, in its Atlanta offices as a Senior
Manager. Again, his work focused on mergers and acquisitions; federal, state and
local tax due diligence; transaction and organizational structural consulting to
corporate, financial services and private equity clientele; structured finance; and
federal, state and local tax planning. In 2002, Paul joined Duane Morris, LLP, as a
Partner, bringing his expertise in mergers and acquisitions, and tax and
consulting knowledge to the Atlanta-based law firm.  

In 2004, Paul founded Spizzirri & Associates, LLC, in Midtown Atlanta. The firm
has expanded and currently has five attorneys on staff.  

Important Memberships and Accomplishments:
Paul is licensed to practice in the Georgia and South Dakota State and Federal
Courts, as well as the United States Tax Court, the United States Supreme Court
and the United States Securities and Exchange Commission.

Paul has served as a Senior Faculty Member of DeVry University’s Keller Graduate
School of Management since 2000. He has instructed graduate students in
courses such as Advanced Studies in Federal Taxes and Management Decisions;
Advanced Financial Accounting and Reporting Issues; Legal, Political and Ethical
Dimensions of Business; and Managerial Accounting, Auditing and Business Law.

Paul’s speaking engagements include addressing the Council for International
Tax Education (CITE) on “Section 382 Planning” in 2001, and addressing the
National Business Institute (NBI) on “Mergers and Acquisitions in Pennsylvania:
the Art of Doing Deals” in 2002.  

Paul is a member of the American Bar Association and its Sections of Taxation and
Business Law. He is a prior member of the ABA’s Sections of Government and
Public Sector Law and Litigation. Paul is a member of the American Trial Lawyers
Association and the Georgia Bar Association. He is a Mentor for the State Bar of
Georgia’s Transition Into Law Practice program. Paul is also a member of the
South Dakota Trial Lawyers Association, the South Dakota Jaycees, the Chamber
of Commerce, Rotary International, GSBA, Delta Sigma Pi and Theta Xi.

Paul is a member of Marquis Who’s Who in American Law, Platinum Who’s Who,
International Who’s Who of Professionals, Cambridge Who’s Who and Strathmore’
s Who’s Who.
